# Shipper Terms of Use
**Version 2026-07-14**
These Terms of Use (these "Terms") are a binding agreement between you and
Nixon Labs, LLC, a Florida limited liability company doing business as Bare
Metal Labs AI ("Licensor," "we," or "us"), governing your access to and use of
the Shipper software, including the Shipper command-line interface, the
Shipper desktop application, the Shipper MCP server, and any related
components, updates, documentation, and hosted licensing services we make
available (collectively, the "Software").
By clicking "Accept," creating or using a Shipper account, or accessing or
using the Software, you (1) acknowledge that you have read and understood
these Terms, (2) agree to be bound by them, and (3) if you are using the
Software in the course of your work for a company or other organization,
represent that you are authorized to use the Software under an arrangement
between that organization and Licensor, and that you accept these Terms on
your own behalf as an individual user. If you do not agree to these Terms, do
not accept them and do not use the Software.
## 1. License Grant
Subject to your continued compliance with these Terms and to an active
entitlement issued by Licensor, Licensor grants you a limited, non-exclusive,
non-transferable, non-sublicensable, revocable license to install and use the
Software, in object code or bundled form as delivered by Licensor, on devices
you use, solely for internal software-development purposes within the scope
authorized by the arrangement between Licensor and your organization (or, if
you are licensed individually, the scope authorized by Licensor in writing).
Your license is conditioned on an active, per-user entitlement in Licensor's
licensing system. Licensor may issue, suspend, or revoke entitlements and
device credentials in accordance with its agreement with your organization.
The Software validates entitlements against Licensor's licensing service and
will cease to function if validation fails or cannot be completed within the
offline allowance built into the Software.
## 2. Restrictions
Except as expressly permitted by these Terms or by applicable law
notwithstanding this limitation, you will not, and will not permit anyone
else to:
- copy, distribute, publish, sublicense, sell, rent, lease, lend, or
otherwise transfer the Software or any part of it to any third party;
- share your account credentials, license tokens, or device authorizations
with any other person, or use another person's credentials;
- modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive
the source code of the Software, except to the extent this restriction is
prohibited by applicable law;
- remove, alter, or obscure any proprietary notices in or on the Software;
- circumvent, disable, or interfere with the Software's license validation,
entitlement enforcement, or usage controls;
- use the Software to develop a competing product, or use it on behalf of
any organization other than the one whose arrangement with Licensor
authorizes your use; or
- use the Software in violation of applicable law.
## 3. Accounts, Credentials, and Security
Access to the Software requires an account provisioned by Licensor and
device credentials issued through the Software's sign-in flow. You are
responsible for maintaining the confidentiality of your credentials and for
all activity under them. Notify Licensor promptly at
support@baremetallabs.ai if you believe your credentials have been
compromised. Licensor may revoke credentials at any time, including on
termination or suspension of your or your organization's entitlement.
## 4. Data We Collect
The Software communicates with Licensor's licensing service to validate your
entitlement. As part of sign-in and validation, Licensor collects and stores:
your name and email address as provisioned; a device label identifying each
machine you authorize (derived by default from the machine's hostname); the
version of the Software you are running; timestamps of sign-ins,
authorizations, and license validations; and records of your acceptance of
these Terms (including version, time, and request metadata such as IP
address and user agent). Licensor uses this information to administer
licenses, enforce these Terms, provide support, and meet its obligations
under its agreement with your organization, and does not sell it. The
Software does not transmit your source code, repository contents, or the
contents of your development activity to Licensor's licensing service.
Your use of third-party services with the Software — including GitHub and
any AI coding agents you configure — is governed by your and your
organization's agreements with those providers. Licensor is not responsible
for third-party services.
## 5. Third-Party Components
The Software includes third-party open-source components that are licensed
under their own terms (for example, components licensed under the MIT
License). Those terms govern your use of the respective components, and
nothing in these Terms limits your rights under them. Copies of applicable
third-party license notices are included with or referenced in the Software
distribution.
## 6. Ownership
The Software is licensed, not sold. Licensor and its licensors retain all
right, title, and interest in and to the Software, including all
intellectual-property rights. No rights are granted to you except as
expressly set out in these Terms.
## 7. Feedback
If you provide suggestions, ideas, or other feedback about the Software, you
grant Licensor a perpetual, irrevocable, worldwide, royalty-free license to
use that feedback for any purpose without obligation to you.
## 8. Updates and Availability
Licensor may provide updates to the Software and may modify, suspend, or
discontinue any part of the Software or its supporting services. Updates,
when provided, are part of the Software and governed by these Terms. The
Software depends on Licensor's licensing service; Licensor does not
guarantee uninterrupted availability of that service, and the Software's
built-in offline allowance is the sole accommodation for service
unavailability.
## 9. Term, Suspension, and Termination
These Terms apply from your first acceptance and continue until terminated.
Your license terminates automatically, without notice, if (a) your or your
organization's entitlement expires, is suspended, or is revoked; (b) the
arrangement between Licensor and your organization that authorizes your use
ends; or (c) you materially breach these Terms. Licensor may also suspend or
revoke your access at any time as provided in its agreement with your
organization. On termination you must stop using the Software and delete
your copies, and Licensor may revoke your credentials and device
authorizations. Sections 2, 4, 6, 7, and 10 through 14 survive termination.
## 10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND
WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR
OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR
A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY
WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. LICENSOR DOES
NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE,
OR THAT DEFECTS WILL BE CORRECTED. YOU ARE RESPONSIBLE FOR YOUR USE OF THE
SOFTWARE, INCLUDING REVIEW OF ANY CHANGES IT PROPOSES OR MAKES TO YOUR
REPOSITORIES BEFORE YOU ADOPT THEM.
## 11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL
LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA,
GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS
OR THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) LICENSOR'S TOTAL
AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE
WILL NOT EXCEED THE AMOUNTS PAID TO LICENSOR FOR YOUR USE OF THE SOFTWARE IN
THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR, IF
NO SUCH AMOUNTS WERE PAID, ONE HUNDRED U.S. DOLLARS (US $100). THE
LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL
PURPOSE.
## 12. Export and Compliance
You represent that you are not located in, and will not use the Software in,
any jurisdiction where such use is prohibited by applicable law, and that
you are not subject to sanctions administered by the United States. You will
comply with all applicable export-control and sanctions laws in connection
with the Software.
## 13. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard
to its conflict-of-laws rules. The state and federal courts located in the
State of Florida will have exclusive jurisdiction over any dispute arising
out of or relating to these Terms or the Software, and you consent to
personal jurisdiction and venue in those courts. The United Nations
Convention on Contracts for the International Sale of Goods does not apply.
## 14. General
**Changes to these Terms.** Licensor may update these Terms by issuing a new
version. Continued use of the Software after a new version takes effect
requires acceptance of that version; the Software will prompt you to accept
before continuing. Each version of these Terms applies from the time you
accept it.
**Order of precedence.** These Terms govern your individual use of the
Software. If Licensor and your organization have entered into a separate
written agreement covering the Software, that agreement governs commercial
matters between Licensor and your organization (such as fees, quantities,
and term), and, in the event of a direct conflict regarding your permitted
use, that written agreement controls.
**Assignment.** You may not assign or transfer these Terms or your license.
Licensor may assign these Terms in connection with a merger, acquisition, or
sale of assets, or to an affiliate.
**Severability; waiver.** If any provision of these Terms is held
unenforceable, it will be modified to the minimum extent necessary to make
it enforceable, and the remaining provisions will remain in full force. A
failure to enforce a provision is not a waiver of it.
**Entire agreement.** These Terms (together with any written agreement
described under "Order of precedence") are the entire agreement between you
and Licensor regarding the Software and supersede all prior or
contemporaneous understandings on that subject.
